Constitution of the Minnesota Elk Breeders Association
Preamble
With the object in view of promoting the Elk Farming industry in the State of Minnesota, and in increasing the public’s awareness of the real and aesthetic pleasures involved with the breeding, raising, viewing, and consuming Elk, we do hereby form ourselves into the Minnesota Elk Breeders Association.
Through the sponsorship of this organization, we further agree to disseminate the latest information on the care and management of Elk farming to all interested members; to provide a forum for discussing mutual problems and topics of interest concerning breeding, raising, and marketing; to protect and advance our interest at the State Legislator, through national organizations, at the Congress of the United States; to develop working agreements with State and Federal officials; and to meet periodically with fellow Elk Farmers and Hobbyist to socialize and participate together in the best tradition of cooperative action.
Article I. Name
The Minnesota Elk Breeders Association shall be the name of this organization.
Article II. Membership
Section 1. All individuals interested in Elk farming; either for business or hobby, or those in related business, may become members.
Section 2. Pursuant to the process provided in the by-laws, persons in sympathy with the aims of this organization may have honorary membership conferred upon them.
Article III. Board of Directors
Section 1. There shall be vested in the board five (5) Directors with the authority to govern this organization, by directing its policy and operations in all matters relating to the objects for which it has been formed.
Section 2. The terms of the Board of Directors shall be Three (3) years. Directors will be elected at the annual meeting for the directors positions that expire.
Section 3. Each year the board of directors shall choose the president, vice-president, and a secretary-treasurer.
Article IV. Meetings
Section 1. Meetings of the organization shall be called at the discretion of the President and the Board of Directors, but there shall be at least one meeting in a calendar year. The annual meeting shall be within fourteen (14) months of the previous annual meeting.
Section 2. Upon written request of nine members of this organization, or whenever deemed desirable by the Board of Directors, special meetings shall be called.
Section 3. Meetings of the Board of Directors may be called upon the request of three (3) of the Directors.
Article V. Amendments
If an amendment to this constitution shall be proposed at any regular meeting of this organization it may be made, if carried by a two-thirds vote of those voting; provided, that the proposed amendment has been previously approved by the Board of Directors, and their approval has been made known to each member at least one week before the vote is taken. This information will be mailed to each member by the Secretary.
